Agency Terms

These terms apply when you run brands for clients from an agency workspace on Bonus Round. They add to our Terms of Service and the Advertiser Terms, which apply to every campaign you run. "You" is the agency.
The short version
- Campaigns you place for clients from your agency workspace earn you a commission of 15% of their gross media spend.
- The commission comes out of the spend, not on top of it, and your client can always see it. No hidden rebates.
- Commission is paid like developer earnings: available after 30 days, from US$50, through Stripe Connect.
Who these terms are for
An agency workspace is a Bonus Round workspace of the type "agency". From it you can create client brands, or manage a client's own brand through partner access the client gives you, and you can pay for a client's ad account.
Agency-placed campaigns
- A campaign is agency-placed when a member of your agency workspace creates or manages it while acting in your agency workspace (on a client brand in your workspace, or through partner access), or when your agency workspace pays for the client's ad account. We record which agency placed each campaign.
- A campaign stays agency-placed only while your agency still has access to the brand (the brand is in your workspace or your partner access is active) or still pays for the account. When that ends, spend from then on earns no commission.
The commission
- On agency-placed campaigns you earn 15% of the gross media spend, calculated for each billable event and recorded in our ledger. "Media spend" has the meaning in the Publisher Terms.
- The commission is taken from the media spend before the game developer's share and our platform fee are calculated. For example, on US$100 of agency-placed spend you earn US$15.00, the developer US$59.50 and Bonus Round US$25.50. Amounts are calculated in millionths of a US dollar and your commission is rounded down to the nearest millionth.
- No commission is earned on test traffic, on invalid events, or on spend we refund or reverse. [Decision: How commission on spend that is later refunded, reversed or found invalid is clawed back]

Disclosure to your clients
- Your clients see, on their Billing page and on each campaign, that the campaign is agency-placed, the name of your agency, the commission rate and the commission amount. You agree to this disclosure.
- We don't pay undisclosed rebates, volume bonuses or other payments to agencies. Any fee you charge your client directly is between you and your client.
Eligibility and verification

- You must be authorised in writing by each client you act for (see Advertiser Terms). Commission placed in breach of these terms, or on a brand you aren't authorised to represent, may be withheld or reversed.
How commission is paid
- Commission follows the same rules as developer earnings: each amount becomes available 30 days after it is earned, you can request a payout once at least US$50 is available, and payouts go to a Stripe Connect Express account for your agency workspace. Only owners and admins of the agency workspace can request payouts.
- Until Stripe payouts are switched on for Bonus Round, commission accrues in your agency workspace and is shown on the Agency commission page. [Decision: Agency commission payment timing, including when the first payouts are made and whether commission is paid monthly instead of on request]
- You are responsible for taxes on your commission. [Decision: Tax-form collection and any withholding for agencies]
Your responsibilities
- Follow the Advertiser Terms and the Ad Content & Brand Safety Policy for every campaign you run, and make sure your clients' material is cleared for use.
- Don't create campaigns, change campaign settings or move ad accounts to your agency only to earn commission on spend you didn't place.
