Terms of Service
Draft: pending legal review. This is a working draft. It is not legal advice and is not yet in force. Highlighted text in brackets is a placeholder to fill in ([like this]) or an open business decision ([Decision: like this]). Purple "Drafting note" boxes are for reviewers and must be removed before publishing.
These terms are the agreement between you and Bonus Round for using bonusround.io, the dashboard, the API, the in-game SDK and everything else we offer. We have tried to write them in plain language. Please read them. By creating an account or using the service, you agree to them.
The short version
- Bonus Round is a business service for game developers ("publishers") and brands ("advertisers"). Players don't need an account and aren't bound by these terms.
- Our AI agents visit the websites and games you point them at. Only point them at things you have the right to let us access.
- You keep ownership of your games and brand materials. You give us the permissions we need to run the service.
- Ads and creatives are generated with AI. They can contain mistakes, so brands must review every creative before it runs.
- Extra terms apply depending on what you do: the Publisher Terms, the Advertiser Terms and the Ad Content & Brand Safety Policy.
About these terms
Bonus Round is operated by Dream Park Immersive Inc. ("Dream Park", "we", "us"), a [ENTITY TYPE AND STATE OF INCORPORATION] whose registered address is 1525 Van Ness Ave, San Francisco, CA. Bonus Round is a Dream Park product, and where these terms refer to "Bonus Round" as a party, they mean Dream Park. You can reach us at aidan@dreampark.app.
"You" means the person or organisation that creates an account or uses the service. If you accept these terms for a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.
The "service" means everything we provide: the website at bonusround.io, the dashboard, the public REST API, the hosted MCP server and command-line tools, the Bonus Round SDK (the br.js script and the files it loads), our AI agents, generated creatives and ad serving, and our reports.
How the documents fit together
These Terms of Service apply to everyone with an account. Depending on how you use Bonus Round, these documents also apply and form part of your agreement with us:
- Publisher Terms, if you add a game and show ads in it.
- Advertiser Terms, if you add a brand, run campaigns or fund an ad account.
- Agency Terms, if you run brands for clients from an agency workspace.
- Ad Content & Brand Safety Policy, for everyone, because it governs what can appear in ads and in games that show them.
Our Privacy Policy, Cookie & Local Storage Notice and Sub-processor list explain how we handle personal data. Our Copyright & DMCA Policy explains how to report infringing content. If documents conflict, the more specific one wins for its subject (for example, the Advertiser Terms win on billing), and a signed order form or written agreement with us wins over all of them.
Who can use Bonus Round
- Bonus Round is a service for businesses and independent professionals, such as game studios, solo developers and brands. It is not a consumer product.
- You must be at least 18 years old, or the age of majority where you live if that is higher, to create an account. [Decision: Confirm minimum age for account holders (18 proposed)]
- You must not use the service if you are barred from doing so under applicable law, including sanctions and export-control laws, or if we have previously suspended your account for a breach of these terms.
- Players who play a game that shows Bonus Round ads don't need an account and are not parties to these terms. The game developer's own terms and privacy policy apply to them, and our Privacy Policy explains what our SDK does in their browser.
Your account
- Give us accurate information when you sign up (an email address and, optionally, a name) and keep it up to date.
- Keep your password and API keys secret. We store passwords only as salted scrypt hashes and API keys only as hashes, so we can't recover them for you. An API key acts as your account, so keep it out of client-side code and public repositories.
- You are responsible for everything done through your account and your API keys, including by any AI assistant or automation you connect to our API or MCP server. Revoke a key straight away from the Developers page if you think it has leaked, and tell us at aidan@dreampark.app if you think your account has been compromised.
- Our demo account is filled with labelled demo data. Demo numbers are illustrations, not results.
What the service does
Bonus Round connects three.js browser games with brands:
- Publishers install our SDK. It requests ads, shows sponsored rounds and ambient branded props, and reports ad events back to us.
- Advertisers give us their website. Our AI agents learn the brand, match it to suitable games and generate a playable ad for each game. The brand reviews it, then funds campaigns that bid in our auction.
We keep improving the service, so features will change. Some features may be labelled beta, preview or experimental. We provide those as they are and may change or remove them. We aim to keep the service available, but unless a separate written agreement says otherwise, we don't promise any particular uptime or support response time. [Decision: Whether to offer an SLA to any customer tier]
Test mode
New games start in test mode. In test mode a game receives only our house test ad (a fictional brand), and test-mode traffic is never billed to advertisers and never paid out to publishers. See the Publisher Terms for details.
AI agents and automated browsing
Much of Bonus Round is done by AI agents that control an automated (headless) web browser on our servers. They use AI models from the providers on our sub-processor list.
- When you give us a URL (a brand website, a game, or a URL in the public preview on our home page), you ask us to visit it with our agents, take screenshots, read the page and, for games, play the game. You confirm that you are entitled to ask us to do this, and that doing so won't breach anyone else's terms or rights.
- Our brand agent only visits publicly available pages of the brand's own website. If a site blocks automated browsing, our agent does not retry it and does not try to get around the block. It may use web search and other public sources instead.
- Our play agent plays games like a new player would. If you give us a test login for your game, the agent types it in without the AI model seeing the values. See the Publisher Terms.
- Don't put content on your site or in your game that is designed to manipulate our agents, such as hidden instructions to an AI ("prompt injection"), content that only appears to automated browsers, or traps meant to make our agent misreport what it saw. This is a breach of these terms.
Your content and the permissions you give us
"Your content" means what you or your agents provide to us or point us at: game and website URLs, the content our agents see on them, uploaded images and logos, brand names and trademarks, game assets and 3D models, campaign settings, calls to action and landing-page URLs, test logins, and messages to us.
- You keep ownership of your content. These terms don't transfer any of your intellectual property to us.
- You grant us a worldwide, non-exclusive, royalty-free licence, for as long as you use the service and for a reasonable period afterwards to wind down, to host, copy, process, analyse, adapt, transform (for example, turning a logo into a 3D object or recolouring an arena to match a game), display, perform and distribute your content, but only to provide, secure and improve the service for you and the other side of your ads. For example, we show a brand's ad to players of matched games, and we show a game's name and statistics to brands that match it.
- That licence lets us send your content to our sub-processors (for example, AI model providers) to perform the service.
- [Decision: Whether Bonus Round may use customer content or outputs to train or evaluate its own models or prompts; currently none of the code does this]
- You confirm you have all the rights and permissions needed to give us this licence, and that your content and our use of it as these terms allow won't infringe anyone's rights or break any law.
- Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
AI-generated content
Bonus Round generates content with AI: brand kits (summaries of a brand's identity), game analyses ("world manifests"), match scores, ad concepts and copy, images, 3D models, textures, music and sound effects, and the playable rounds built from them ("outputs").
- Outputs can be wrong. AI can misread a website, invent or misstate product details, misjudge a game's audience or content rating, or produce images, models or audio that look or sound like existing works, people or trademarks. We run automated checks, but they are not a guarantee.
- Review before you rely on outputs. Advertisers must play and approve each creative before it can run. Publishers should check the content rating, categories and audience our agent proposes for their game and correct them. You are responsible for decisions you make based on outputs.
- Similar outputs. Outputs are generated per brand and per game, but other customers may receive outputs that are similar to yours, because they are made by the same systems.
- Ownership. Who owns the creative outputs, and what each side may do with them, is set out in the Advertiser Terms. In some countries, purely AI-generated material may not be protected by copyright at all. We don't promise that any output is protectable, exclusive or registrable.
- Provider rules. Our AI providers have their own usage policies. We may refuse or stop a generation that would break them.
Acceptable use
When you use Bonus Round, you must not:
- break the law, or help anyone else to do so;
- infringe or misappropriate anyone's intellectual property, privacy or publicity rights, for example by creating ads for a brand you don't represent;
- generate fake, fraudulent or invalid ad traffic, including self-clicking, bots, incentivised clicks, or misrepresenting where an ad was shown (see the Publisher Terms);
- break our Ad Content & Brand Safety Policy;
- use Bonus Round to collect personal information from players, or to target ads at individuals based on their behaviour;
- probe, scan or test the security of the service, or get around rate limits, usage limits, authentication or access controls, except under a responsible-disclosure arrangement agreed with us in writing [Decision: Whether to publish a security.txt and vulnerability disclosure policy];
- interfere with or overload the service, or upload malware;
- access the service by automated means other than our documented API, MCP server and CLI, or scrape it;
- copy, modify, reverse engineer or create derivative works of the service or the SDK, except as the law expressly permits or as needed to integrate the SDK as our documentation describes;
- use the service, its outputs or its data to build a competing ad network or to train a model that competes with us;
- use another person's account, or resell access to the service without our written permission; or
- try to manipulate our AI agents, as described in section 5.
Fees and payments
- Creating an account and adding games or brands is free. Advertisers pay for media by prepaying an ad balance. Publishers earn a share of the net revenue on their games (media spend minus any disclosed agency commission). Agencies that place campaigns for brands earn a disclosed commission out of that spend. The details, including the revenue share, the agency commission, payout timing and minimums, are in the Advertiser Terms, the Publisher Terms and the Agency Terms.
- Payments and payouts are processed by Stripe. By paying or receiving money through Bonus Round you also agree to Stripe's terms that apply to you, including the Stripe Connected Account Agreement for publishers who receive payouts.
- Amounts are in US dollars unless we tell you otherwise. You are responsible for your own taxes. [Decision: Tax treatment: whether prices include VAT, GST or sales tax, and whether Stripe Tax is enabled]
- We may change our pricing, the revenue share or the platform fee in the future. We will give you at least [Decision: Notice period for pricing changes (30 days proposed)] notice by email or in the dashboard, and changes won't apply to amounts already earned or prepaid funds already spent.
Referral programme
You can share a personal referral link and earn a bonus when an account you referred qualifies: a developer whose game goes live on a real domain and serves real impressions, or a brand that spends paid ad credit. One bonus per referred account; self-referrals and invalid activity don't count. The details, including amounts, eligibility, limits, expiry and the fraud rules, are in the Referral Programme Terms. [Decision: Referral amounts, eligibility, expiry and fraud rules (see the Referral Programme Terms)]
Confidentiality
Each of us may see the other's non-public information, for example unreleased games, campaign plans, test logins, earnings, or non-public parts of the service. Each of us will use the other's confidential information only for the purposes of this agreement, protect it with reasonable care, and share it only with people and sub-processors who need it for those purposes and are bound by similar confidentiality duties. This doesn't cover information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed. Either of us may disclose confidential information if the law requires it, after giving notice where we lawfully can.
Privacy and data protection
Our Privacy Policy explains how we handle personal data about account holders, website visitors and players. Bonus Round is designed so that it does not need to collect personal information from players: ads are matched to games by context, never to people by behaviour.
Where we process personal data on your behalf as a processor, our data processing addendum applies. [Decision: Whether to publish a standard Data Processing Addendum (DPA) and at which URL, and the controller/processor role for player data, see the Privacy Policy]
If you are a publisher, you are responsible for your own game's privacy notice and for any consent your players' law requires before our SDK runs. See the Publisher Terms.
Third-party services and links
The service works with services we don't control, including Stripe, AI model providers, your own website and game, and the landing pages that advertisers link to. Their terms and privacy policies apply to your use of them, and we are not responsible for them. A call-to-action link in an ad takes the player to the advertiser's own website.
Suspension and termination
- You can stop using Bonus Round at any time. You can delete your account yourself with
DELETE /api/me[Decision: Add a delete-account button to the dashboard; today it is API-only], or email aidan@dreampark.app from your account's email address. Deleting your account stops ad delivery for your games and campaigns straight away. We keep financial records as the law requires, detached from your profile. - We may suspend or limit your account, a game, a brand, a campaign or a creative straight away if we reasonably believe that you have breached these terms or any linked policy, that there is invalid traffic, fraud or a security risk, that the law requires it, or that continuing would expose players, other customers or us to harm. Where it is reasonable to do so, we will tell you why and give you a chance to fix the problem.
- We may end this agreement for convenience with [Decision: Notice period for termination for convenience (30 days proposed)] notice.
- When the agreement ends, your right to use the service ends. What happens to an unspent ad balance and to unpaid publisher earnings is covered in the Advertiser Terms and the Publisher Terms. Sections that by their nature should survive (for example, licences needed to wind down, confidentiality, disclaimers, limits of liability, indemnities and dispute terms) will survive.
Disclaimers
To the fullest extent the law allows, the service, the SDK and all outputs are provided "as is" and "as available". We make no promises or warranties, express or implied, including about merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service will be uninterrupted or error-free. We don't guarantee any level of ad fill, earnings, reach, engagement or campaign results. Match scores, predicted rates and estimates are estimates. Nothing in these terms excludes any rights you have that cannot lawfully be excluded.
Limitation of liability
To the fullest extent the law allows:
- neither of us is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill or data, however caused, even if warned that it might happen; and
- each party's total liability arising out of or relating to this agreement is limited to the greater of (a) the amounts you paid us or we paid you under this agreement in the [Decision: Liability cap look-back period (12 months proposed)] before the event giving rise to the claim, and (b) [Decision: Liability cap floor amount (e.g. US$100)].
These limits don't apply to your payment obligations, to either party's indemnity obligations, to breaches of confidentiality, to your breach of the acceptable-use rules or the Ad Policy, or to liability that the law does not allow to be limited (for example, for fraud, or for death or personal injury caused by negligence). [Decision: Confirm carve-outs and whether a separate, higher cap applies to data-protection claims]
Indemnity
You will defend us and our affiliates, officers, employees and contractors against any third-party claim, and pay any resulting damages, fines, settlements and reasonable legal costs, to the extent it arises from your content (including any trademark, logo or other material you uploaded or pointed us at), your game or website, your ads and landing pages, your breach of these terms or of the law, or invalid traffic you caused. We will tell you promptly about the claim, let you control its defence (but you can't settle it in a way that admits fault for us or binds us without our consent), and give you reasonable help at your expense. [Decision: Whether Bonus Round gives a reciprocal indemnity, e.g. for claims that the SDK or service itself infringes third-party IP]
Governing law and disputes
These terms, and any dispute arising out of or relating to them or to the service, are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-laws rules. The courts of [COURTS / VENUE] have exclusive jurisdiction, except that either of us may seek urgent injunctive relief in any court with jurisdiction.
Before starting formal proceedings, please contact us at aidan@dreampark.app so we can try to resolve the dispute informally within 30 days. [Decision: Whether to use binding arbitration and a class-action waiver instead of courts, and where]
Changes to these terms
We may update these terms as the service and the law change. If a change materially affects your rights, we will give you at least [Decision: Notice period for material changes (30 days proposed)] notice by email or in the dashboard before it takes effect, unless the change is required by law or is needed urgently to address security or abuse. The "Last updated" date at the top shows when the terms last changed. If you keep using the service after a change takes effect, you accept the updated terms. If you don't agree, stop using the service and close your account.
General
- Entire agreement. These terms and the documents they link to are the whole agreement between us about the service and replace any earlier understanding.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it to an affiliate or to a successor in a merger, acquisition or sale of assets, and will tell you if we do.
- Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control, such as outages at upstream providers, natural disasters, war, or government action. This doesn't excuse payment obligations.
- No waiver. If we don't enforce a right straight away, we haven't given it up.
- Severability. If a court finds part of these terms unenforceable, the rest stays in effect, and that part is enforced as far as the law allows.
- Independent parties. We are independent contractors. These terms don't create a partnership, joint venture, employment or agency relationship. Nothing here gives rights to anyone who isn't a party, including players.
- Notices. We will send notices to your account email address or show them in the dashboard. Send notices to us at aidan@dreampark.app and 1525 Van Ness Ave, San Francisco, CA.
- Sanctions and export. You confirm you are not located in, or owned or controlled by anyone in, a country or region subject to comprehensive sanctions, and that you are not on a government restricted-party list.
- Publicity. We won't use your name or logo in our marketing without your permission. [Decision: Whether to ask for a customer-logo permission at sign-up]
